Knjiga je namenjena študentom FDV in EPF ter drugim, ki se pri svojem delu srečujejo s problematiko gospodarskih družb in njihovega poslovanja. Avtorji želijo pravno problematiko približati predvsem tistim, ki nimajo pravne predizobrazbe, se pa dnevno v praksi srečujejo z njo. Pri metodološkem pristopu k problematiki gospodarskega prava so avtorji upoštevali interdisciplinarnost problematike delovanja in poslovanja gospodarskih družb in so posamezne pravne pojme obravnavali tako, da so poskušali poiskati odgovor na vprašanje, zakaj pravo posamezna vprašanja ureja na točno določen način. Pri tem so seveda upoštevali dispozitivnost pravne ureditve, ki subjektom gospodarskega prava omogoča veliko avtonomijo.

Knjiga je razdeljena na več zaokroženih podpoglavij, ki se medsebojno prepletajo in sestavljajo celoto. Uvodni del je namenjen obravnavi temeljnih pravnih pojmov in se začne z odgovorom na vprašanji, kaj pravo sploh je in od kod izvira. Pri tem je treba opredeliti pojem pojem in vsebino posamezne pravne norme ter njen izvor, to je vire prava. Pojasnjen in prikazan je nastanek pravnega razmerja in opredeljeni so so subjekti pravnega razmerja, ki so nosilci pravic in obveznosti v pravnem razmerju. Opredeljeno je, kje in kako se doseže pravno varstvo pravic.

V nadaljevanju avtorji prikažejo osnove obveznostnega prava, pri čemer opredelijo pojem obveznosti, temelje za nastanek obveznosti, utrditev obveznosti, spremembe obveznih razmerij in ne nazadnje načine prenehanja razmerij.

Sledi prikaz in pregled najpomembnejših gospodarskih pogodb.
